Resources – Terms and Conditions of Purchase and Use

 “We”“Us” “Our” means Clare Norman Coaching Associates Limited

“You” “Your” means the Customer

“Resources” means all products downloaded from our website

1. Collection and Cancellation.
   1. You will need a Word, PDF and/or PowerPoint compatible program or app (depending upon your download). All resources are in MS Word format unless stated as a PowerPoint or Word document. Make sure you save the Resources after you access them from the download portal.
2. Reasonable care and skill. We warrant to you that the Resources have been prepared using reasonable care and skill and all resources are virus free when purchased.
3. Intellectual property rights
   1. Rights Reserved. All intellectual property rights in or arising out of or in connection with the Resources are owned by us.
   2. Licence to use. We agree to grant you a fully paid-up, non-exclusive, royalty-free licence to use the Resources specified in your order for the purpose of your business. You may not sub-license, re-distribute or otherwise transfer, resell or distribute these rights or the Resources to any other person or body, or include the Resources in any publication or publicly available website or platform.
   3. Use and Copying Resources. Copies may only be made by you for personal or professional use, e.g. by Coaches for their Coachees. If you carry out work for, or are associated with more than one organisation, the Resources can only be used in one organisation, and must be downloaded by each associated organisation separately after having purchased the book. We reserve the right to invoice you or any business or organisation using the Resources in breach of this condition.
4. Limitation of Liability. We accept no responsibility or liability for any changes made by you to the Resources, nor for any technical issues which may occur during their use, nor for any loss or damage arising from their use or the incorrect use of the information within them.
5. No endorsement. Using the Resources does not give or imply any endorsement by us of your products or services.
6. Guidance only. All Resources are for guidance only, the person downloading them is responsible for their legitimate use and for checking they meet any awarding organisation or other requirements.
7. Third party rights. The contract is between you and us. No other person has any rights to enforce any of its terms.
8. Governing law and jurisdiction. These terms and conditions are governed by English law and we each irrevocably agree to submit all disputes arising out of or in connection with these terms and conditions to the exclusive jurisdiction of the English courts

Changes to the resources

Resources are regularly updated; however, things do change. For example, text books and websites mentioned in the resources might have been revised or amended since production.
